1. Scope of Agreement and Contractual Parties These General Terms of Service govern the independent partnership between EuroStar Bridge Limited (hereinafter referred to as the “Company” or “EU-MCN”) and the accepted Applicant (hereinafter referred to as the “Local Independent Representative” or “Partner”). By submitting an application and successfully completing the digital verification (e.g., Video-Ident), the Partner formally agrees to these terms and the associated Trust Agreement (Treuhandvertrag) to act as a local administrative node for international e-commerce facilitation on platforms such as TikTok, Amazon, and Stripe.
2. Absolute Indemnification & Zero Liability Guarantee (The “Treuhand” Principle) The Partner acts exclusively as a compliance and administrative representative for non-EU merchants. 2.1 No Financial Risk or Out-of-Pocket Cost: The Partner is completely released from any and all corporate debts, daily operational liabilities, tax obligations, or financial losses incurred by the merchant stores they represent. The Partner is never required to invest, deposit, or pay any fees to the Company. 2.2 Comprehensive Legal Shield: In the rare event of platform disputes, customer returns, regulatory audits, or civil claims against the store, the Company and its Ultimate Beneficial Owners (UBOs) in Asia provide full indemnification. The Partner holds zero personal or financial liability for the business operations.
3. Compensation Structure & Cryptographic Payouts (USDC) 3.1 Fixed Representation Retainer: Partners in good standing receive a fixed monthly retainer (e.g., 200 USDC for the Base Tier, or 300 USDC for the AI Avatar Tier) strictly for maintaining an active compliance verification status. 3.2 Borderless Payment Schedule: All payouts are disbursed dynamically between the 1st and 5th of each calendar month. Payments are executed directly via USD Coin (USDC) to the Partner’s designated cryptocurrency wallet (e.g., Binance, Trust Wallet). The Partner is solely responsible for providing an accurate TRC-20, ERC-20, or equivalent wallet address. The Company is not liable for funds sent to incorrect addresses.
4. Data Privacy, Digital Likeness, & AI Avatar Generation If the Partner explicitly opts into the AI Avatar Tier (Premium Tier), they grant the Company the non-exclusive right to utilize their provided 2D facial images solely for the algorithmic generation of AI-driven product demonstration and marketing videos for the affiliated merchant’s TikTok/Social Media shop. 4.1 Ethical AI Guarantee: The Partner’s digital likeness will strictly be used for e-commerce product promotion and will never be utilized for illicit, political, explicit, or defamatory content. 4.2 GDPR Compliance: All initial verification data is routed through recognized third-party KYC providers. 5. Termination and Flexible Exit This is an “At-Will” independent partnership. The Partner has a “Flexible Exit” guarantee and may request to terminate their involvement at any time by sending a formal notice to their designated WhatsApp Onboarding Manager or via email to
info@eu-mcn.com. Upon receipt, the Company will cleanly unbind the Partner’s identity from the respective merchant accounts within 14 business days, terminating all monthly retainers and future liabilities.
6. Applicable Law and Dispute Resolution As this operational gateway is managed by EuroStar Bridge Limited (Hong Kong), this specific agreement is governed by the laws of the Hong Kong Special Administrative Region, excluding its conflict of law provisions.
